9. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these Terms or your use of the Website shall be subject to the exclusive jurisdiction of the courts located in Chandigarh, India.
You agree to submit to the personal jurisdiction of the courts located in Chandigarh, India, for the purpose of litigating all such claims or disputes.
10. Dispute Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof, the parties shall first attempt to resolve the dispute through good-faith negotiations. If the dispute cannot be resolved through negotiations within thirty (30) days, either party may initiate mediation under the Mediation Act, 2023.
If mediation is unsuccessful, the dispute shall be submitted to arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended. The arbitration shall be conducted in Chandigarh, India, by a sole arbitrator mutually agreed upon by the parties. The language of arbitration shall be English. The arbitral award shall be final and binding on both parties.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or other proprietary rights.
11. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the relevant provision shall be deemed deleted.
